Welcome to our Website or/ Application (the “Online Platform” or “Basata ______”). We, Basata shall also be referred to hereinafter as “we” or “us”, the owner and operator of the Online Platform concerning your access to and use of Basata Website as well as Mobile Application related, (collectively, the “Platform”).
These terms and conditions (the “Terms and Conditions”, the “Agreement” or “T&Cs”)) constitute a legally binding agreement made by and between us and yourself, being a Merchant or Customer.
These Terms and Conditions govern your use of our Platform and any related services (“The Services”) provided by Basata unless otherwise agreed upon in writing. By using our Platform, you agree to be bound by these Terms and conditions. This Agreement is effective upon the date you first access or use the Services (“Effective Date”).
Please read these Terms and Conditions carefully before you start using Basata Platform. We may, at our sole discretion, update, modify, remove parts of these Terms and Conditions, from time to time, reflect changes resulting from any amendments in the content, or adding new features. All changes will be effective once posted herein upon notification on the Platform. Please check these Terms and Conditions regularly for any updates.
Your continued use of Basata Platform, following the addition of changes to these Terms and Conditions, is a declaration of your acceptance of said changes.
Introduction:
You may use Basata Platform under the provided Terms and Conditions, for the purpose of benefitting from the services herein.
To register yourself on Basata Platform, you agree to give accurate and up to date information about yourself and promptly update such information in case of any changes. Having a valid registration entitles you to have a personal account with a username and password, thus entitling you to benefit from our services.
We are solely responsible for the quality of the services we provide and performance of our profession. We are also responsible for the accuracy of the information we provide you with and which are within the limits permitted by the applicable laws in the Arab Republic of Egypt.
Being the account owner, you are entirely responsible for all activities conducted under this account and/or under the relevant password. Furthermore, you must notify us immediately of any unauthorized use of your password or account in case you forget your password.
Acceptance of Terms:
You acknowledge that you have read these Terms and Conditions prior to your use of Basata services. Each time you use our platform you agree to be bound by this Terms and Conditions and any subsequent amendments or modifications as may be made from time to time.
We may amend these Terms and Conditions at any time by posting an updated version. The updated version of these Terms and Conditions shall take effect immediately upon posting. By continuing to use it you agree that the amended terms will apply to you.
After registering on Basata Platform, your registration will be validated, and you will have your own unique Username and Password that will give you access to the Services on Basata platform, whereupon you are an authorized user and is bound by the below Terms and Conditions.
Platform services:
Basata platform provides a secure and user-friendly financial payment system that integrates fintech solutions, connecting service providers, merchants, and consumers.
Basata Platform hereby established as a unified, comprehensive electronic bill payment solution designed to revolutionize the user's financial transaction experience by providing a seamless, all-in-one platform for managing a wide array of financial transactions. Our service connects you to a vast network of Biller members, enabling the secure processing of payments including but not limited to, utilities, telecommunications, insurance premiums, Donations, Gas bills and more with unparalleled ease. Through our platform, Users are granted the ability to remit multiple bills quickly from any geographic location at any given time, benefiting from real-time payment processing, the maintenance of a detailed transaction history, and the assurance of fully encrypted and secure financial operations across the platform.
Terms of payments:
The fees for all services provided through our platform are specified on the company’s pricing page; the company retains the unilateral right to revise the fees at any time, provided that the user is notified of any such revision via email or SMS before the updated fees apply to a service currently in use
The User is obligated to timely pay or ensure the Company can collect all fees and amounts due under this Agreement, and the User hereby authorizes the Company to deduct, recoup, or setoff any outstanding amounts directly from the User's designated bank account, reserving the right to seek all available remedies, including recovery of profit losses, should the User fail to make payment. Furthermore, the User specifically authorizes the Company to debit the bank account provided within the Basata account profile—which is hereby designated for all payment and transfer purposes related to application usage—for the collection of all owed amounts, upon issuance of a separate notice for each debit

The Registration Process, Activation Code and Password:
During the registration process, the platform will allow you to assign a unique User ID and a unique Password to access your account. The account will remain inactive, till you activate it using the activation link sent to the provided Email address used during the registration process including the Pin Code. The activation code will enable you to start using your account with all its features and services. You must use your user ID and Password to access the Service. Your Password is for your sole and exclusive use and has the same effect as your written signature in connection with the Service. You should treat your Password with the same degree of care and secrecy that you use to protect your other personal identification numbers or sensitive personal financial data. Remember it is your responsibility to protect your Account Password. Please change your password immediately in such situation. Notifying us immediately is the best way of minimizing possible losses.
You acknowledge that the sharing or assigning of your username and password with other persons (collectively as "Multiple Use") may cause irreparable harm to us and you shall, to the full extent permitted by applicable law, indemnify us against any loss or damages suffered by us because of such multiple use. You undertake to notify us immediately of any unauthorized use of your username or password or any other breach of security. You agree that we shall not be liable for any loss or damage arising from your failure to comply with this term.
User Eligibility and Merchant Warranties:
By registering and using this Platform, the User represents and warrants that they are a minimum of twenty-one (21) years and acknowledges their full legal capacity to enter into binding contracts in accordance with Egyptian law.
The Merchant further represents and warrants, in addition to the general User eligibility requirements outlined above, that they are a Merchant as defined under the applicable laws and regulations governing commerce in the Arab Republic of Egypt, specifically in accordance with Egyptian Commercial Law No. 17 of 1999, and acknowledges this status is a prerequisite for platform usage. By completing the onboarding process, the Merchant affirms their status as a duly authorized merchant and agrees that it is their sole responsibility to provide all mandatory legal documents verifying this status, assuming full and exclusive responsibility for the authenticity, validity, and accuracy of all such submitted documentation related to the platform usage.
The Users Rights & Obligations:
Subject to the User's strict and continuous compliance with all the provisions of these Terms and Conditions, the Company hereby grants the User a non-exclusive, non-transferable, limited right to access and utilize the services provided by this platform solely for legitimate business purposes. This limited license is strictly conditional upon the User not engaging in any unlawful, illegal or prohibited activities as detailed within these Terms and Conditions or by the applicable law.
By utilizing the services, the User explicitly agrees to adhere to all applicable laws and regulations and to fully respect the intellectual property rights of the company and any third parties. Any unauthorized use, misuse, or breach of these terms may result to immediate termination or suspension of the User’s access to the services, in addition to the initiation of any necessary legal action.
Refund & cancellation:
The Company reserves at its sole discretion the right to cancel any transaction and fully refund to the end user if there is suspicion of fraudulent activity or violation of these Terms and Conditions. The following terms shall apply to such events:
1. Evidence: Refunds shall be processed only upon the establishment of sufficient evidence confirming the existence of the claim fraud or violation.
2. Investigation: The Company shall investigate any reported or suspected fraudulent activity or violation of these terms. All parties involved shall be duly notified of the investigation and have afforded a reasonable opportunity to submit a response
3. Refund Process: If fraud or a violation is confirmed, the end user shall receive a refund from the user’s account. The user shall be responsible for all costs associated with the refund.
4. Account Actions: In addition to the aforementioned cancellation and refund actions, the user’s account may be subject to immediate suspension or permanent termination based on the outcome of the investigation. Further Actions. The Company reserves the right to take any further legal or administrative action if necessary.
By utilizing our services, you formally agree to comply with these terms and acknowledge our rights to cancel transactions and issue refunds as described herein.
Termination of the Account:
We reserve the right to terminate any user account if the user is found to have provided false information, misrepresentation, or fraudulent legal documents during the onboarding process. Termination may also occur if the user has violated any applicable laws or regulations or otherwise breached any of our Terms and Conditions.
Termination of the account may involve the removal of all associated user data and permanent prohibition of future access to our services. Your use of our services constitutes your agreement to comply with these terms and your acknowledgment of our right to terminate your account if any of the aforementioned conditions are breached.
Termination of the account doesn’t preclude us from taking necessary legal actions or seeking appropriate indemnification.
Privacy & confidentiality:
We are dedicated to maintaining the highest standards of privacy and confidentiality for our users' personal data. We formally undertake to protect such information, ensuring to adhere to the prevailing data protection laws and regulations. By accessing or utilizing our services, you hereby acknowledge and agree to be bound by these privacy and confidentiality provisions and understand the importance of maintaining the integrity of all the sensitive information.
Intellectual Property Rights:
All intellectual property rights related to this Platform, including but not limited to software, design, text, graphics, logos, and any other content, remain the exclusive property of the Company. By using our Platform, you acknowledge and agree that you do not acquire any ownership rights or interests in any intellectual property associated. "
Users are strictly prohibited from copying, distributing, modifying, or creating derivative works of any content or materials associated with our Platform without our explicit written consent. Any unauthorized use of our intellectual property is a breach of these terms and may result in immediate legal proceedings and the pursuit of all available remedies. By accessing and utilizing our services, you hereby commit to respect and uphold our intellectual property rights as detailed in these terms.
Modification to This Agreement:
Basata reserves the right unilateral right to amend all or any part of this Agreement at any time at its discretion, Such modifications shall be communicated by posting a revised version of the modified General Terms & Conditions, Services Terms, or any terms or related policies on the Platform or via direct notification, Amendments become effective immediately upon posting or notification, Your continued use of the Services following effective date constitutes you acceptance of the modified Agreement. It remains your responsibility to review Basata platform periodically for updates, The 'Last Modified' date will be reflected under the relevant heading.
Limitation of Liability & Disclaimers:
Basata shall not be liable for any direct, indirect, incidental, special, punitive or consequential damages including but not limited to any lost profits related to, or in connection with, or otherwise resulting from any use of the services, even if Basata has been advised of the possibility of such damages. Basata shall not be liable for any damages or liability or losses arising out of: Your use of, reliance on the services or inability to access or utilize the services.
Any transaction, relationship between you and a third party, even if Basata has been advised of the potential for such damage. Basata shall not be liable for any damages, losses, delays, misrepresentations and causes of Legal actions.
The services are provided “AS IS” and “AS AVAILABLE”, Basata disclaims all representations and warranties, express or implied not expressly set out in these Terms, Including the implied warranties of Merchantability, fitness for a particular purpose and non-infringement. in addition, Basata makes no representations, warranty, or guarantee regarding the reliability, timeliness, suitability of the services or the users.
You agree that the entire risk arising out of your use of the services in connection therewith remains solely with you, to the maximum extent permitted under the applicable laws.
Indemnity:
The Merchant shall indemnify and hold Basata harmless from and against any and all liabilities, losses, claims, demands, actions, judgments, costs, and expenses, including but not limited to attorneys' fees, directly arising out of, or resulting from its failure, willful misconduct, or negligence in performing its obligations under this Agreement.
Privacy Policy:
By accepting these Terms & Conditions, you hereby declare your commitment to be bound by Basata privacy policy as detailed herein, your continued use of the services serves as your formal agreement to adhere to our privacy Policy.
Laws:
These Terms &Conditions shall be governed by and construed in accordance with the laws and regulations of the Arab Republic of Egypt. Including but not limited to the following laws and regulations:
- The Central Bank of Egypt (CBE) law &and all applicable banking and payment service regulations.
- Data Protection Law No. Law No. 151 of 2020.
- The Egyptian Commercial Law No. 17 of 1999.
Dispute Resolution and Jurisdiction:
Any disputes or claim arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of the Arab Republic of Egypt.
